How the Michigan College Learning Center Association (MICLCA) is organized, how decisions are made, and how leadership transitions over time.

MICLCA Bylaws

The MICLCA bylaws were approved on March 19, 2026. They define the organization's purpose, membership structure, board composition, officer roles, election procedures, and financial governance.

Board of Directors

MICLCA is governed by a Board of Directors consisting of the President, Vice President, Secretary, Treasurer, and Member at Large. The bylaws also define Immediate Past President and Marketing and Communications Officer roles. The current founding board serves until the first annual meeting at which elections are held.

President
Principal officer. Presides over board and membership meetings; MICLCA's primary liaison to ICLCA (International College Learning Center Association) and other professional associations.
Vice President
Chairs the Professional Development Committee; assumes the duties of the President if the President is unable to serve.
Secretary
Records meeting minutes; maintains bylaws and organizational archives; manages the membership roster.
Treasurer
Manages organizational finances; prepares the annual budget; processes membership dues and fees; files required tax and legal status reports.
Member at Large
Full voting board member; contributes to governance and organizational development.
Immediate Past President
Chairs the Nomination Committee; provides continuity and institutional knowledge during leadership transitions. (This position becomes active after the first election.)
Marketing and Communications Officer
Manages MICLCA's public communications, website, and social media presence. (This position will be filled by election at the inaugural annual conference.)

Standing Committees

The MICLCA bylaws establish two standing committees.

Professional Development Committee

Chaired by the Vice President. Plans the annual conference and coordinates professional development activities for MICLCA members.

Nomination Committee

Chaired by the Immediate Past President. Manages the officer nomination and election process, including soliciting nominations, verifying candidate qualifications, and presenting the candidate slate to the membership.

Officer Elections

MICLCA's first officer elections will take place at the inaugural annual conference in May 2027. The founding board currently serves in an interim capacity and will transition to elected leadership following this election.

March 2027 (approximately 60 days before the annual meeting)

The Nomination Committee solicits nominations from the general membership. Any member in good standing may nominate a candidate, including themselves.

April 2027 (approximately 30 days before the election)

The Nomination Committee presents a slate of qualified candidates to the membership.

May 2027 (at the annual meeting)

Elections held by secret ballot. Nominations from the floor are permitted, provided the nominee meets the qualifications. Officers assume office at the close of the annual meeting.

Positions filled by election

The following positions will be filled by election: Vice President, Secretary, Marketing and Communications Officer, and Treasurer. The President and Immediate Past President positions are filled through succession, not direct election.

Candidate qualifications

To be eligible for any officer position, a nominee must be a member in good standing and current on all dues at the time of nomination and throughout their term of service.

Term lengths

The President and Vice President each serve a one-year term. The Secretary, Marketing and Communications Officer, and Treasurer each serve a two-year term.

Note on the first election cycle

The Nomination Committee is chaired by the Immediate Past President per the bylaws. As this is MICLCA's first election and there is no Immediate Past President, the board will appoint a committee chair for this election cycle.

Policies

Conflict of Interest

All MICLCA Directors, Officers, and Committee Members are required to comply with the Conflict of Interest Policy and complete a Conflict of Interest Disclosure Form at the start of each term.

Non-Discrimination Statement

MICLCA does not discriminate on the basis of race, color, ethnicity, national origin, religion, sex, gender identity, gender expression, sexual orientation, age, disability, veteran status, or marital status.

ICLCA Affiliation

MICLCA is an affiliate of the International College Learning Center Association (ICLCA) and no other organizations. MICLCA board members are required to be current, active members of ICLCA.
